1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Agreement" means these Terms and Conditions, together with any engagement letter, proposal, or service order agreed in writing between the parties.
- "We", "Us", "Our" refers to Halcyon Reef, a business advisory firm based at Tower 2, PFCC, Jalan Puteri 1/2, 47100 Puchong, Selangor, Malaysia.
- "You", "User", "Client" refers to any individual, business, or organisation that engages our Services or accesses our website.
- "Services" means the business advisory and digital transformation consulting services offered by Halcyon Reef, including but not limited to Digital Readiness Reviews, Tools & Workflow Modernisation, and Digital Roadmap Programmes.
- "Content" means any materials, reports, recommendations, documents, or deliverables produced by Halcyon Reef in connection with the Services.
- "Website" means the Halcyon Reef website at https://halcyony.club.
- "Confidential Information" means any non-public information shared by either party in connection with an engagement, including business processes, organisational data, and strategic plans.
2. Acceptance of Terms
By using our Website, submitting an enquiry, or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
You must be at least 18 years of age and have full legal capacity to enter into binding agreements on behalf of yourself or the organisation you represent. If you are entering into this Agreement on behalf of a company or other legal entity, you confirm that you are authorised to do so.
If you do not agree to these terms, please refrain from using our Website or engaging our Services.
3. Service Description
Halcyon Reef provides business advisory and digital transformation consulting services to organisations in Malaysia and the broader Southeast Asian region. Our core services include:
- Digital Readiness Review โ A structured assessment of your organisation's current tools and workflows, identifying gaps and practical next steps.
- Tools & Workflow Modernisation โ A multi-week advisory engagement supporting the evaluation, selection, and adoption of more suitable software for a defined area of the business.
- Digital Roadmap Programme โ A wider advisory engagement developing a staged, multi-quarter modernisation plan aligned with your organisation's strategic direction.
All Services are delivered primarily in English. We work with clients across Peninsular Malaysia and may engage remotely with clients in other locations subject to prior agreement.
We reserve the right to decline any engagement at our reasonable discretion, particularly where a conflict of interest or scope mismatch is identified.
4. User Responsibilities
To enable us to deliver the Services effectively, you agree to:
- Provide accurate, complete, and up-to-date information when requested.
- Make relevant personnel available for discovery calls, workshops, and review sessions as agreed.
- Notify us promptly of any changes to your business context that may affect the scope or direction of the engagement.
- Ensure that any materials or data you share with us do not infringe the rights of third parties.
- Use our Website and any deliverables only for lawful purposes.
You agree not to:
- Misrepresent your identity, authority, or organisational affiliation.
- Resell, sublicense, or distribute our deliverables to third parties without prior written consent.
- Reverse-engineer or repurpose our methodologies, tools, or frameworks for commercial exploitation.
- Use our Website in any manner that could interfere with its operation or security.
- Share our Confidential Information with competitors or third parties without our written consent.
5. Intellectual Property
All intellectual property in our methodologies, frameworks, templates, Website content, and general advisory know-how remains the property of Halcyon Reef. Nothing in these Terms transfers ownership of our IP to you.
Deliverables produced specifically for your engagement โ such as systems maps, shortlists, rollout plans, and roadmap documents โ are provided to you under a limited, non-exclusive, non-transferable licence for your internal business use only.
You may not reproduce, publish, or distribute engagement deliverables outside your organisation without our prior written consent.
Any materials you share with us to facilitate the engagement remain your property. By sharing them, you grant us a limited licence to use them solely for the purpose of delivering the agreed Services.
6. Payment Terms
Our current advisory fees are:
- RM 700 โ Digital Readiness Review
- RM 2,900 โ Tools & Workflow Modernisation
- RM 4,600 โ Digital Roadmap Programme
All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of applicable taxes unless stated otherwise. We accept payment via bank transfer to details provided on invoice. Payment instructions will be confirmed in the engagement letter.
Payment schedules (including any deposit requirements or milestone-based billing) will be specified in the engagement letter or proposal. Invoices are due within 14 days of issuance unless otherwise agreed.
We reserve the right to pause delivery of Services where payments are significantly overdue, and to review our pricing periodically. Any fee change will be communicated prior to commencement of a new engagement.
7. Service Delivery Terms
All Services are delivered according to a scope agreed at the outset of each engagement. Timelines and key milestones are set out in the engagement letter. We will make reasonable efforts to meet agreed timelines, subject to your timely provision of required inputs and personnel access.
Material changes to the agreed scope requested after engagement commencement may affect timelines and fees. We will discuss and agree any such changes in writing before proceeding.
Deliverables are provided for informational and advisory purposes only. We do not implement technology systems on your behalf unless separately agreed in writing. Responsibility for implementation, vendor selection decisions, and operational outcomes rests with your organisation.
We maintain reasonable confidentiality obligations with respect to information shared during an engagement and expect the same from you regarding our methodologies and advisory approach.
8. Disclaimers
Our Services are provided on a professional advisory basis. All recommendations, assessments, and roadmaps represent our informed opinion based on the information available to us at the time of the engagement. They do not constitute a promise of any particular business outcome.
We are not a licensed legal, financial, accounting, or regulated professional services firm. Nothing we provide constitutes legal advice, financial advice, or regulated professional services of any kind. For matters requiring such expertise, you should engage an appropriately qualified professional.
Our Website is provided "as available". We do not warrant that it will be uninterrupted or error-free, and we reserve the right to modify, suspend, or discontinue any part of it at any time.
Third-party tools, platforms, or vendors referenced in our advisory work are independent of Halcyon Reef. We do not endorse specific vendors and are not responsible for the performance, pricing, or terms of any third-party service.
9. Limitation of Liability
To the fullest extent permitted by law, Halcyon Reef's total aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you to us for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, consequential, incidental, or special losses, including but not limited to loss of revenue, loss of data, loss of opportunity, or damage to reputation, even if we have been advised of the possibility of such losses.
We shall not be liable for delays or failures in performance resulting from events outside our reasonable control, including natural events, infrastructure disruptions, regulatory changes, or actions of third parties.
10. Indemnification
You agree to indemnify, defend, and hold harmless Halcyon Reef, its principals, staff, and advisors from and against any claims, costs, damages, or expenses arising from:
- Your use of our Services or Website in breach of these Terms.
- Your failure to obtain necessary consents before sharing third-party data or materials with us.
- Any misrepresentation of your authority or identity in connection with the engagement.
- Any wilful misconduct or negligence on your part in connection with our Services.
11. Termination
Either party may terminate an engagement by giving written notice. Specific notice periods and termination conditions will be set out in the engagement letter.
We reserve the right to terminate an engagement immediately if you materially breach these Terms and fail to remedy the breach within 7 days of written notice, or if you act in a manner that is harmful, dishonest, or contrary to applicable law.
Upon termination, fees for work completed up to the termination date become payable. Deliverables already produced and shared remain subject to the licence terms in Section 5.
Provisions that by their nature should survive termination โ including intellectual property, confidentiality, disclaimers, and limitation of liability โ remain in effect after termination.
12. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Before commencing formal proceedings, we encourage both parties to attempt to resolve any dispute informally. Please contact us at [email protected] in the first instance, and we will endeavour to acknowledge your concern within 5 business days.
Where informal resolution is not possible, either party may refer the matter to mediation through the Malaysian Mediation Centre or pursue resolution through appropriate legal channels.
13. General Provisions
Entire Agreement. These Terms, together with any engagement letter or written proposal, constitute the entire agreement between the parties regarding the subject matter and supersede any prior discussions or representations.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may engage subcontractors or associates in delivering the Services, subject to appropriate confidentiality obligations.
Notices. Formal notices under these Terms should be sent in writing to the address below or by email to [email protected]. Notices take effect upon confirmed receipt.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, applicable law, or our operating practices. When we make material changes, we will update the "Last Updated" date at the top of this page.
Continued use of our Website or engagement of our Services after an update constitutes acceptance of the revised Terms. If you have an active engagement with us, material changes to these Terms will be notified to you directly and will apply only to new engagements unless you expressly agree otherwise.
We recommend reviewing this page periodically if you work with us regularly.
